1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you and Orionis ("Company," "we," "our," or "us") concerning your access to and use of our website and foreign investment advisory services in Thailand. By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree with any provision of these Terms, please discontinue use of our website and do not engage our services. These Terms apply to all visitors, prospective clients, and clients of Orionis.

2. Definitions

  • "Services" refers to BOI investment promotion application support, Foreign Business Act compliance advisory, investment incentive zone guidance, and related professional services provided by Orionis
  • "Client" means any individual or entity that engages Orionis for advisory services
  • "Website" refers to all pages and content hosted at orioniiss.life
  • "Agreement" means these Terms and Conditions together with any engagement letter or service agreement

3. Service Description

Orionis provides professional advisory services related to foreign investment in Thailand, including Board of Investment promotion applications, Foreign Business Act compliance guidance, and investment zone advisory. Services are provided on a professional services basis and do not constitute legal representation or guarantees of specific outcomes.

Our advisory services are designed to assist clients in understanding and meeting regulatory requirements. Final decisions regarding approvals, licenses, or permits rest with relevant Thai government authorities. We do not guarantee BOI promotion approval, license issuance, or any specific regulatory outcome.

4. Eligibility and Capacity

By using our website or engaging our services, you represent and warrant that:

  • You are at least 20 years of age and have legal capacity to enter into binding agreements
  • You have authority to bind any business entity on whose behalf you are acting
  • All information you provide is accurate, current, and complete
  • You will maintain the accuracy of such information and promptly update any changes

5. Service Engagement and Scope

5.1 Engagement Process

Advisory engagements begin upon mutual agreement documented in an engagement letter or service agreement. The engagement letter specifies the scope of services, fees, timeline, and deliverables. Services commence only after receipt of signed engagement letter and required initial payment.

5.2 Scope Limitations

Our services are limited to the specific scope defined in the engagement letter. Additional services require separate agreement. We do not provide legal advice, tax advice, or accounting services unless specifically stated in the engagement letter. Clients should seek independent legal and tax counsel as appropriate.

5.3 Client Responsibilities

Clients are responsible for providing accurate and complete information, timely responses to information requests, review and approval of prepared documents, and cooperation with data collection and verification processes. Delays or incomplete information may affect service delivery timelines.

6. Fees and Payment

6.1 Service Fees

Service fees are quoted in Thai Baht and specified in the engagement letter. Fee ranges reflect project complexity and scope. Final fees are confirmed before service commencement. Fees may be structured as fixed project fees or hourly rates depending on service type.

6.2 Payment Terms

Payment terms are specified in the engagement letter and typically require an initial deposit (usually 30-50% of total fee) upon engagement, with remaining balance due upon service completion or according to agreed milestone schedule. Invoices are payable within 15 days of issuance unless otherwise specified.

6.3 Additional Expenses

Government filing fees, translation costs, courier services, and other third-party expenses are billed separately and are not included in service fees unless specifically stated. Clients are responsible for all applicable taxes on services provided.

6.4 Refund Policy

Initial deposits are non-refundable once work commences. If services are terminated before completion, fees are calculated based on work completed to termination date. Unused portions of fees for incomplete work may be refunded at our discretion.

7. Intellectual Property

7.1 Company IP

All content on our website, including text, graphics, logos, and software, is owned by Orionis and protected by Thai and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without written permission.

7.2 Client Materials

You retain ownership of all materials you provide to us. By providing materials, you grant us a limited license to use them for the purpose of delivering contracted services. We will not use your materials for other purposes without consent.

7.3 Work Product

Documents prepared specifically for your engagement (business plans, application materials, analysis reports) are provided to you for use in your investment activities. Our methodologies, templates, and internal processes remain our proprietary property.

8. Confidentiality

We maintain strict confidentiality of client information as outlined in our Privacy Policy and professional standards. Information disclosed during our engagement will not be shared with third parties except as required for service delivery, with your consent, or as required by law.

Confidentiality obligations continue after service completion. Clients are similarly obligated to maintain confidentiality of our proprietary methodologies and internal processes.

9. Disclaimers

9.1 Service Basis

Services are provided on an "as is" basis. While we maintain professional standards, we do not guarantee specific outcomes, approval rates, or processing timelines by government authorities. BOI promotion approval, license issuance, and regulatory decisions are made by Thai government agencies based on their evaluation criteria.

9.2 No Warranties

We make no warranties regarding the continuous availability of our website or the accuracy of third-party information. We do not warrant that our services will meet your specific requirements or that outcomes will align with your business objectives in all circumstances.

9.3 Professional Advice Disclaimer

Our advisory services do not constitute legal advice, tax advice, or accounting services. You should seek independent professional counsel for legal, tax, and accounting matters related to your investment activities.

10. Limitation of Liability

To the maximum extent permitted under Thai law, our liability for any claims arising from services provided is limited to the amount of fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental damages including lost profits, business interruption, or missed investment opportunities.

This limitation applies regardless of the legal theory of liability (contract, negligence, or other) and whether we were advised of the possibility of such damages. Some jurisdictions do not allow limitation of liability for certain types of damages, in which case our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Orionis, its employees, and advisors from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms, your violation of any law or regulation, your provision of inaccurate information, or your use of our services in a manner not authorized by these Terms.

12. Termination

12.1 Termination by Client

You may terminate services upon 15 days written notice. Upon termination, you are responsible for fees for work completed to the termination date plus reasonable costs incurred for work in progress.

12.2 Termination by Company

We may terminate services upon 15 days written notice if you fail to provide required information, breach payment terms, or engage in conduct that makes continued services impractical. We may also terminate immediately if continuation would violate professional standards or legal requirements.

12.3 Effects of Termination

Upon termination, we will provide all work product completed to termination date. You remain responsible for payment of fees and expenses incurred. Confidentiality obligations survive termination.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Thailand. Any disputes arising from these Terms or our services shall be subject to the jurisdiction of Thai courts.

13.2 Informal Resolution

Before pursuing formal legal action, parties agree to attempt good faith resolution through direct discussion. Either party may request a meeting to discuss the dispute and explore mutually acceptable solutions.

13.3 Jurisdiction

If informal resolution is unsuccessful, disputes shall be resolved in the courts of Bangkok, Thailand. Both parties consent to the personal jurisdiction of these courts and waive any objection to venue.

14. General Provisions

14.1 Entire Agreement

These Terms, together with any engagement letter and Privacy Policy, constitute the entire agreement between you and Orionis regarding website use and services. They supersede all prior communications and proposals.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

14.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by authorized representatives.

14.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.

14.5 Notices

Notices to us should be sent to [email protected] or to our registered address. Notices to you will be sent to the contact information provided in your engagement letter or account.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through website notice or email to active clients. Your continued use of our website or services after changes constitutes acceptance of modified Terms. For ongoing service engagements, Terms in effect at engagement commencement generally apply unless modified by written agreement.
